1.Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and APEX HostMate ("we", "us", "our") governing your access to and use of our websites, hosting, domain, SSL and related services (the "Services"). By creating an account, placing an order or using the Services, you agree to these Terms and our Privacy Policy.

2.Definitions

• "Account" — the client area and credentials you use to access the Services.
• "Service Plan" — the specific hosting, domain or related package you purchase.
• "Content" — any data, applications, files or material you store, transmit or process using the Services.

3.Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate, current and complete information and to keep it updated. You are responsible for all activity that occurs under your Account and for maintaining the confidentiality of your credentials. Notify us immediately of any unauthorised use.

4.Services & Plans

We provide managed Oracle APEX hosting, web hosting, virtual and dedicated servers, domain registration, SSL certificates and related services as described on our website. Plan features, resources and specifications are set out on the relevant product pages and may be updated from time to time. We may modify, enhance or discontinue features with reasonable notice.

5.Fees, Billing & Renewals

You agree to pay all fees for the Services you order at the prices in effect at the time of purchase.

• Services are billed in advance on a monthly or annual basis as selected at checkout;
• Unless cancelled, plans renew automatically at the then-current rate, and you authorise us to charge your payment method;
• Domain registrations and renewals are subject to registry pricing and are generally non-refundable;
• You are responsible for any applicable taxes. Late or failed payments may result in suspension as described in Section 10.

6.Refund Policy

Eligible shared and dedicated database hosting plans include a 7-day money-back guarantee, and eligible web hosting plans include a 30-day money-back guarantee, from the date of initial purchase. Setup fees, domain registrations, SSL certificates, add-ons and renewals are non-refundable. Refunds are issued to the original payment method.

7.Acceptable Use Policy

You may not use the Services to host, transmit or facilitate any content or activity that:

• Is unlawful, infringing, defamatory, fraudulent or harmful;
• Distributes malware, phishing pages, or facilitates unauthorised access to systems;
• Sends spam or unsolicited bulk communications;
• Infringes intellectual property or privacy rights;
• Consumes resources in a manner that degrades service for other customers.

We reserve the right to investigate violations and to remove content or suspend Services that breach this policy.

8.Customer Responsibilities

You are responsible for your Content, the security of your applications and access credentials, maintaining your own backups in addition to ours, and ensuring your use complies with applicable laws. You represent that you have all necessary rights to your Content.

9.Service Availability & SLA

We target 99.9% network and service availability as described in our Service Level Agreement, which forms part of these Terms. Service credits are your sole and exclusive remedy for failure to meet the uptime commitment.

10.Suspension & Termination

We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, fail to pay fees, or engage in activity that poses a security or legal risk. You may cancel your Services at any time from the client area. Upon termination, your right to use the Services ceases and we may delete your Content after a reasonable retention period.

11.Intellectual Property

The Services, including our website, software, trademarks and content, are owned by APEX HostMate or our licensors and are protected by intellectual property laws. You retain all rights to your Content. You grant us a limited licence to host and process your Content solely to provide the Services.

12.Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

To the fullest extent permitted by law, APEX HostMate shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Services shall not exceed the amount you paid us in the three (3) months preceding the claim.

13.Indemnification

You agree to indemnify and hold harmless APEX HostMate and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Content, your use of the Services, or your breach of these Terms.

14.Governing Law & Disputes

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh, unless otherwise required by applicable law.

15.Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Material changes will be communicated through the Services or by email. Your continued use after changes take effect constitutes acceptance.
